These terms govern your use of jerskit.com and of the Jerskit software, whether we host it for you or license it to you as source code. By ordering a plan, you accept these terms.

What we provide
- Hosted plans (Starter and Pro). We run the software on our infrastructure, keep it updated and available, and provide you with an administrator account. The plan you choose determines which templates and features are available.
- Source licence. We deliver the complete source files and database schema, and you run them on infrastructure under your control. The licence is perpetual, non-exclusive and non-transferable and is valid for one installation operated by you or your client.
What you may and may not do
You may modify the source code, rebrand it and use it to provide services to your own customers. You may not resell, sublicense or redistribute the source code itself as a product, publish it in a public repository, share it with unauthorised third parties or remove licence notices from the files.
You are responsible for content uploaded by you and your customers, for ensuring that you hold the necessary rights to every logo, badge, design, image or sponsor mark you reproduce, and for complying with data protection requirements in relation to your own customers.
Fees and renewal
Prices are shown in the pricing section and exclude VAT unless expressly stated otherwise. Hosted plans are billed monthly or annually in advance, according to the billing option you select, and renew automatically for the same period until cancelled. Source licences are subject to a single payment.
You may cancel a hosted plan by writing to hello@jerskit.com before the next renewal date. Cancellation takes effect at the end of the paid billing period. Amounts already paid are not refunded except as expressly stated below or where required by law.
Refunds and the right of withdrawal
Consumers in the European Union generally have a statutory 14-day right of withdrawal for distance contracts.
For digital content supplied immediately, the right of withdrawal expires once delivery begins if you have expressly consented to immediate delivery and acknowledged that you will lose the right of withdrawal. We will request this consent and acknowledgement before delivering source files.
For hosted plans, we additionally offer a 14-day money-back period starting on the date of the initial order. This voluntary refund period does not apply to renewal payments, custom development, domain registration, third-party charges or work that has been specifically produced or configured for you and has already been delivered.
For business customers, payments are non-refundable after the hosted service has been activated or the source files, licence credentials or custom work have been delivered, except where the service is defective, these terms expressly provide otherwise or mandatory law requires a refund.
Availability
We aim for 99.5% monthly availability for hosted plans, excluding announced maintenance, emergency maintenance, force majeure, attacks, customer-caused failures and outages affecting upstream infrastructure or third-party providers. This is a service target and not a warranty unless a separate service level agreement expressly states otherwise.
Support and updates
Hosted plans include updates at no additional charge and support with the response time stated for the selected plan.
Source licences include one guided installation session, written installation documentation and 12 months of software updates from the delivery date. Updates do not include custom development, new bespoke templates, third-party integration work or adaptation to infrastructure that does not meet the published technical requirements. After the update period ends, you may continue using the version already delivered.
Liability
We are liable without limit for intent and gross negligence and for injury to life, body or health. We also remain liable where liability cannot legally be excluded or limited.
In cases of ordinary negligence, we are liable only for breach of an essential contractual obligation whose fulfilment is necessary for proper performance of the agreement and on whose fulfilment you may normally rely. In such cases, liability is limited to foreseeable damage typical for this kind of contract and, in total, to the fees you paid during the 12 months preceding the event giving rise to the claim.
To the extent permitted by law, we are not liable for indirect damage, loss of profit, loss of business opportunity or loss of data that you failed to back up appropriately.
Termination
Either party may terminate the agreement for a material breach that is not remedied within 14 days after written notice. The right to terminate immediately for a serious reason remains unaffected.
When a hosted plan ends, we will normally keep your data available for export for 30 days. After that period, we may permanently delete the data unless a legal retention obligation requires otherwise. You are responsible for exporting and backing up your data before the export period ends.
Governing law and jurisdiction
These terms are governed by the laws of the Federal Republic of Germany, excluding the United Nations Convention on Contracts for the International Sale of Goods.
For merchants, legal entities under public law and special funds under public law, the courts having jurisdiction for Amberg, Germany, have exclusive jurisdiction. For consumers, the statutory rules on jurisdiction apply. Nothing in these terms deprives consumers of mandatory protections granted by the law of their country of habitual residence.
Changes
We may amend these terms for valid reasons, including changes to the service, legal requirements or security needs. We will notify affected customers by e-mail at least 30 days before a material change takes effect.
If a change materially disadvantages you, you may terminate the affected hosted plan before the change takes effect. Changes required immediately by law or for urgent security reasons may take effect with shorter notice where necessary.
